1. Introduction
These Terms of Service ('Terms') govern your access to and use of LetA Tech Ltd.'s ('LetA Tech', 'we', 'us') services, including our websites, mobile applications, and software products (collectively, the 'Services'). By accessing or using our Services, you ('User', 'you') agree to be bound by these Terms and our Privacy Policy.
2. Eligibility and Acceptance
You must be at least 18 years old and of the legal age of majority in your jurisdiction to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. By using our Services, you acknowledge you have read, understood, and agree to these Terms. If you do not agree, do not use the Services.
3. User Accounts
Account Creation
You must provide accurate, current, and complete information when creating your account. You agree to keep this information updated.
Account Security
You are solely responsible for maintaining the confidentiality of your account credentials (password) and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
Account Termination
We reserve the right to suspend or terminate your account at our reasonable discretion, without prior notice, for any violation of these Terms or for any activity that is harmful to our Services or other users.
4. Use of Services
License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or internal business purposes.
Restrictions
You agree not to (a) copy, modify, distribute, sell, or lease any part of our Services; (b) reverse engineer or attempt to extract the source code of our Services, unless permitted by law; (c) use the Services for any illegal or unauthorized purpose; (d) interfere with or disrupt the integrity or performance of the Services.
Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.
5. Third-Party Services and Data
Our Services may allow you to connect with third-party applications or services, such as financial institutions or open banking providers (e.g., Plaid). Your use of any third-party service is governed by their terms and privacy policies, not ours. LetA Tech is not responsible for and disclaims all liability related to the data, content, or practices of such third-party services. You are solely responsible for the data you authorize to be transferred from any third party.
6. Intellectual Property
All rights, title, and interest in and to the Services and its content (excluding your data), including all associated intellectual property rights, are and will remain the exclusive property of LetA Tech and its licensors. Our trademarks, logos, and branding may not be used without our prior written consent. You may provide feedback, and you grant us a worldwide, perpetual, royalty-free license to use it without obligation to you.
7. User Conduct
You agree not to engage in any of the following prohibited activities:
Illegal Use
Using the Services for any illegal purpose or in violation of any laws.
Unauthorized Access
Attempting to gain unauthorized access to our systems or other users' accounts.
Service Disruption
Interfering with or disrupting the operation of the Services.
Malicious Code
Uploading or transmitting viruses, malware, or other malicious code.
User Harassment
Harassing, threatening, or intimidating other users.
Impersonation
Impersonating any person or entity or misrepresenting your affiliation.
Data Collection
Collecting or storing personal data of other users without consent.
Spam
Using the Services to send spam or unsolicited communications.
8. Disclaimer of Warranties
The Services are provided 'as is' and 'as available' without warranties of any kind, either express or implied. To the fullest extent permitted by law, LetA Tech disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall LetA Tech, its affiliates, or their directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising from your use of the Services, even if advised of the possibility of such damages.
Notice to Quebec Residents
For residents of Quebec, the limitations of liability in this section may not apply to the extent that damages result from LetA Tech's own acts ('fault') or gross negligence, as provided by the Consumer Protection Act (Quebec).
10. Indemnification
You agree to defend, indemnify, and hold harmless LetA Tech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from or in any way connected with your access to or use of the Services, or your violation of these Terms.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the judicial district of Montreal, Quebec, and you irrevocably consent to the jurisdiction of such courts.
12. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide reasonable notice, such as by email or through a notification in the Services. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.
13. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between you and LetA Tech. If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of those rights.
